Terms of service

This English version is provided for convenience. The Japanese version is the governing text: if the two differ, the Japanese version prevails.
These terms apply to businesses that subscribe to OmniPM. They are written to be read: short articles, plain words, and the commercial details — fees, the beta discount and AI credits — stated as they are.

Article 1About these terms
These terms of service (the “Terms”) govern the use of OmniPM, the property-management software and related services provided by Pacific Business KK (パシフィックビジネス株式会社) (“we”, “us”). They form the agreement between us and the business that subscribes to OmniPM (the “Customer”, “you”).
By applying for, signing up to or using OmniPM, you accept these Terms on behalf of your business, and you confirm that you are authorised to do so.
OmniPM is offered to businesses for their business. It is not offered to consumers for personal use.
Article 2Definitions
- “Service” — the OmniPM dashboard, its mobile views, the guest, resident and owner pages it provides, the Website API, and the setup and support we provide with them.
- “Users” — the people you give access to the Service: office staff, field staff and contractors, house leaders and owners.
- “End Users” — your guests, residents, prospects and owners whose information you put into the Service, or who use the pages the Service provides for you.
- “Customer Data” — everything you, your Users or your End Users put into the Service, including personal information, files, messages and records.
- “Unit” — one rentable apartment or room that you manage in the Service.
- “AI credits” — the units in which use of the Service’s AI features is measured, as shown on our pricing page.
- “Beta” — OmniPM’s private beta programme described in Article 5.
Article 3The service
OmniPM covers reservations and channels, guest check-in and minpaku compliance tools, monthly residents and contracts, the inbox and helpdesk, housekeeping and maintenance, money and owner reporting, websites and marketing, and the AI features built into them. The modules available at any time are described on our website.
We may improve, change or remove features. During the Beta changes can be frequent (Article 5). Outside the Beta, we will tell you in advance before removing a feature that is material to how you use the Service.
Some features work with services run by others — channels such as Airbnb and Booking.com, messaging such as LINE and WhatsApp, payment providers, Google and freee. Article 11 applies to them.
Article 4Accounts and users
- You apply for an account and give us accurate information about your business. We may decline an application, in particular during the Beta.
- You decide who your Users are and what each of them can see, using the roles the Service provides. You are responsible for what your Users do in the Service.
- Keep sign-in details confidential. Tell us at once at info@omnipm.app if you believe an account has been used without permission.
- Switch off a User’s access when it is no longer needed — for example, when a staff member or contractor leaves.
Article 5The private beta
- OmniPM is in private beta. We admit operators to the Beta at our discretion.
- During the Beta, features may be added, changed or removed, and the Service may contain errors or be unavailable at times. Keep the records the law requires you to keep, and check important outputs before relying on them.
- Beta operators receive a 50% discount on the monthly fee for their first 12 months of paid subscription. After those 12 months, the regular monthly fee for your band applies. If the subscription ends earlier, the discount ends with it.
- The Beta discount belongs to your business. It cannot be transferred or exchanged for cash, and it does not apply to top-up AI credits or to work quoted separately, such as a website build.
- We may ask for your feedback. Giving it is up to you; if you do, we may use it to improve OmniPM without any obligation to you.
- We will tell you in advance before the Beta ends and explain what changes for you.
Article 6Fees and billing
- The monthly fee depends on the number of Units you manage in the Service, in the bands shown on our pricing page. Every band includes every module. Prices exclude consumption tax, which is added at the rate in force.
- If the number of Units you manage moves into a different band, the fee for the new band applies from the following billing month.
- Fees are billed monthly in advance and charged to your credit card at the start of each billing month. Top-up AI credits are prepaid: they are charged to your credit card when you buy them.
- There is no setup fee. A website build or other separately quoted work is charged only if we have agreed it with you in writing beforehand.
- If a payment is late, we will remind you. If it is still unpaid after a reasonable period following our reminder, we may suspend the Service until it is paid.
- Except where the law requires otherwise, fees already paid are not refunded, including for part of a month.
- We may change our prices. We will tell you at least 30 days before a change applies to you. A Beta discount already granted stays in place for its full term.
Article 7AI credits
- Each band includes a monthly allowance of AI credits, shown on our pricing page. AI actions use credits at the rates shown there.
- Included credits are for the month in which they are granted. Unused included credits do not carry over to the next month.
- You can buy extra credits in top-up packs. Purchased credits do not expire while your subscription is active, and they lapse when it ends.
- Credits have no cash value. They cannot be transferred or refunded and can be used only within the Service.
- We may change how many credits an action uses, or the credits included in a band, with notice under Article 6.
- When no credits are left, AI features may pause until the next monthly allowance or a top-up. The rest of the Service keeps working.
Article 8AI features
- AI features — reply drafts, ID and payment checks, receipt reading, translation, the assistants and written content — produce suggestions, and suggestions can be wrong.
- You decide what is sent to guests and residents, which IDs and payments you accept, and what you publish. Review AI output before relying on it. If you switch on automatic sending, you are responsible for what is sent.
- AI features process Customer Data through the AI provider named in our privacy policy and on our security page. AI access to resident data is off by default and granted per staff member.
Article 9Your data
- Customer Data belongs to you. We claim no ownership of it.
- You give us the permission we need to host, copy, process, transmit and display Customer Data to provide, secure and support the Service — and for nothing else, unless you instruct us or the law requires it.
- Where Customer Data includes personal information about End Users, you are the business responsible for it, and we handle it on your behalf as your entrusted party (委託先) under Japan’s Act on the Protection of Personal Information. Our privacy policy explains how.
- We keep each operator’s data apart and protect it as described on our security page.
Article 10Your responsibilities
- You are responsible for the personal information of guests, residents, owners and others that you put into the Service: having a lawful basis to collect and use it, telling those people how it is handled, and obtaining any consent the law requires — for example, before checking their IDs.
- You remain responsible for complying with the laws that apply to your business, including the Private Lodging Business Act (住宅宿泊事業法), the Hotel Business Act (旅館業法), the Act on Land and Building Leases (借地借家法), consumer-protection law and the Act on the Protection of Personal Information.
- OmniPM’s compliance tools — the guest register, the 180-day counter and the periodic MLIT report — help you keep records and file reports. They do not replace your own checks: you are responsible for the accuracy of what you record and file, and for filing on time.
- You are responsible for what you publish or send through the Service — listings, websites, posts and messages.
Article 11Services run by others
- Channels, messaging, payment, calendar, accounting and other services you connect are used under their own terms and on your own accounts. Payments are processed by your payment provider; OmniPM does not store card numbers.
- We are not responsible for those services, their availability or their changes. If a provider changes or withdraws its service or interface, a connection may stop working; we will tell you and offer an alternative where we reasonably can.
Article 12Acceptable use
You and your Users must not:
- use the Service for anything unlawful or fraudulent, or that infringes the rights of others;
- send spam or unsolicited messages through the Service’s channels;
- try to access another operator’s data, or any account or system you are not authorised to use;
- probe, scan or test the Service’s security without our written permission — report vulnerabilities to security@omnipm.app instead;
- upload malware, or interfere with or overload the Service, including by deliberately exceeding API rate limits;
- resell or provide the Service to third parties, or copy or reverse-engineer it, except as the law allows;
- use an API key outside the website or system it was created for.
We may suspend access that breaches this Article, and we will tell you why as soon as we reasonably can.
Article 13Availability and support
- We work to keep the Service available and to fix problems quickly. During the Beta, we offer no service-level agreement and do not guarantee any level of availability.
- We may need to carry out maintenance. Where we can, we do it at quiet times and announce planned maintenance in advance on our status page.
- Support is provided by email at info@omnipm.app, in Japanese and English.
Article 14Intellectual property
- We, or our licensors, own the Service, its software, design and documentation. These Terms let you use the Service for your business while your subscription is active; they transfer no ownership.
- Your names, logos, photos and content remain yours. You let us use them only to provide the Service — for example, to show them on a website we run for you.
- We will not name you publicly as a customer without your permission.
Article 15Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for the purposes of these Terms, unless it is already public, was lawfully received from someone else, or must be disclosed by law. This continues after the subscription ends.
Article 16Term, cancellation and termination
- The subscription has a minimum term of 12 months from its start. After that it runs month to month and renews automatically each month until you or we end it.
- You can give notice of cancellation at any time by writing to info@omnipm.app. Cancellation takes effect at the end of the billing month in which you give notice, or at the end of the minimum term if that is later; fees up to that date remain payable.
- We may end the subscription with at least 30 days’ notice. We may suspend or end it sooner if you seriously breach these Terms and do not remedy the breach within a reasonable time after we ask, if fees remain unpaid, or if Article 20 applies.
- When the subscription ends, access to the Service ends and Article 17 applies to your data.
Article 17Data export and deletion
- While you are subscribed, you can export your records — for example, the Rent Roll and reports to Excel, and the guest register to CSV.
- When the subscription ends, we will help you take your data with you. Customer Data remains available for export for 30 days after the end date.
- After that period we delete Customer Data from the Service, and from backups as they are rotated out, except where the law requires us to keep it.
Article 18Disclaimers
Except as these Terms expressly state, the Service is provided as it is and as available — especially during the Beta. We do not promise that it will be uninterrupted or error-free, that AI output will be accurate, or that using it will achieve any particular occupancy, income or compliance result.
Article 19Limitation of liability
- If we are liable to you in connection with the Service, our total liability is limited to the fees you actually paid us in the 12 months before the event that gave rise to the claim.
- We are not liable for lost profits or revenue, for data you could have exported, or for indirect, special or consequential damages.
- These limits do not apply where we acted intentionally or with gross negligence, or where the law does not allow liability to be limited.
Article 21Changes to these Terms
We may change these Terms — for example, when the Service or the law changes. We will announce the change, the new text and the date it takes effect on this page, and tell you by email or in the dashboard, with reasonable notice before that date. If you keep using the Service after that date, the changed Terms apply.
Article 22Governing law and courts
These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance for any dispute arising from or relating to them.
Article 23General
- Neither of us may transfer its rights or obligations under these Terms without the other’s consent, except that we may do so as part of a merger or business transfer, with notice to you.
- If any part of these Terms is held invalid, the rest remains in force.
- Where a written agreement we sign with you for your subscription conflicts with these Terms, that agreement prevails.
- Notices to us go to info@omnipm.app; notices to you go to the email address on your account.
- These Terms are published in Japanese and English. If the two differ, the Japanese version prevails.
